Terms and conditions

1. Purpose

These terms govern (i) the use of makeset.be and (ii) the services provided by Makeset in cybersecurity, web development, automation and support. Any order implies unconditional acceptance of the terms in force at the date of the order.

2. Quote and order

Each engagement is preceded by a written quote describing scope, deliverables, schedule and price. Quotes are valid for 30 days unless otherwise stated. Orders are firm upon signature or written confirmation by the client. Any scope change is documented in an amendment.

3. Price and payment

Prices are in euros excluding VAT. Belgian VAT is added at the applicable rate. Unless agreed otherwise, services are invoiced as follows: 30% on order, 70% on delivery; support contracts are billed monthly or yearly in advance. Payment is due 30 days after invoice. Late payment triggers statutory interest and a €40 lump-sum recovery fee, in accordance with the law of 2 August 2002.

4. Timelines and client obligations

Announced timelines are estimates based on normal client cooperation. The client commits to providing timely information, access and validations. Delays attributable to the client may extend the timeline accordingly.

5. Delivery and acceptance

Deliverables are provided via the agreed channel (Git repo, e-mail, SaaS access). The client has 10 working days to raise reservations. Otherwise, deliverables are deemed accepted. Conditional acceptance may be set for complex deliverables.

6. Intellectual property

Upon full payment, the client gains a non-exclusive right to use the deliverables designed specifically for them. Makeset retains ownership of its generic components, methodologies, know-how and pre-existing libraries; a perpetual irrevocable right of use is granted to the client for them within the deliverables. Makeset may name the client in references unless objected to in writing.

7. Privacy

Each party undertakes to preserve the confidentiality of information exchanged under the contract, throughout the engagement and for 3 years after its end. Obligations relating to personal data are governed by a separate processing agreement (article 28 GDPR).

8. Warranty and liability

Makeset undertakes to perform its services with state-of-the-art diligence. Its liability is limited to proven direct damages and capped at the total amount paid by the client for the relevant engagement. Indirect damages are excluded (loss of revenue, loss of reputation, loss of data after delivery). No limitation applies in case of gross fault, fraud or harm to physical integrity.

9. Force majeure

Neither party will be liable for a breach caused by force majeure within the meaning of article 5.226 of the Belgian Civil Code (natural disasters, conflicts, pandemics, major failures of external infrastructures, etc.).

10. Termination

Any contract may be terminated by either party in case of serious breach not remedied 30 days after formal notice. Support contracts may be terminated with 60 days' written notice.

11. Applicable law and jurisdiction

These terms are governed by Belgian law. Any dispute will fall under the exclusive jurisdiction of the French-speaking courts of the Brussels district, without prejudice to mandatory consumer-protection rules.
